Bylaws of the Harfords Point Association
1. Name
The name of the Association shall be Harfords Point Association, Inc.
2. Nonprofit purpose
The Corporation is formed exclusively for purposes for which a corporation may be formed under the Not-forProfit Corporation Law and not for pecuniary profit or financial gain. No part of the assets, income or profit of the Corporation shall be distributable to, or inure to the benefit of its members, directors, or officers except to the extent permitted under the Not-for-Profit Corporation law. The Association shall not operate any listing service for its members, or take steps which will serve to facilitate the transaction of specific business of its members or promote the private interest of any member, or engage in any activities which would constitute a regular business of a kind ordinarily carried on for profit.
3. Purposes – the purposes for which the Association is organize are:
a.In order to preserve the general peace, health, safety and welfare of Harfords Point, an unorganized township, and to insure that principles of sound planning and zoning are applied to Harfords Point, and to act as a center and clearing point for Harfords Point problems of any nature.
b.To exercise, promote, and protect the privileges and interests of the residents and landowners of Harfords Point; to foster a healthy interest in the civic affairs of the community; to develop good citizenship; and to inquire into civic abuse and seek appropriate remedies.
4. Scope of Activity
The Association shall have the power, either directly or indirectly, either alone or in conjunction or cooperation with others, to do any and all lawful acts which may be necessary, useful, suitable, desirable, or proper for to the furtherance, accomplishment, fostering or attainment of any or all of the purposes for which the Association is organized, and to aid, accomplish, foster, or attain any of such purposes. Notwithstanding anything herein to the contrary, the Association shall exercise only such powers as are in furtherance of the exempt purposes of organizations set forth in Section 501© of the Internal Revenue Code of 1954 and the regulations thereunder as the same now exist or as they may be hereafter amended from time to time.
5. Distribution or dissolution or liquidation
In the event of the liquidation or dissolution of the Association, whether voluntary or involuntary, no member shall be entitled to any distribution or division of its remaining property or its proceeds, and the balance of all money and other property received by the Association from any source, after the payment of all debts and obligations of the Association, shall be used or distributed , subject to the order of the Courts of the State of Maine as provided by law, exclusively for purposes within those set forth in paragraph 3 of this certificate and within the intendment of Section 501 (c) of the Internal Revenue Code 1954 and the Regulations thereunder as the same now exist or as they may be hereafter amended from time to time.
6. Place of operation
The operations of the Association are to be conducted principally within the State of Maine, specifically Harfords Point Township, Piscataquis County, Maine.
7. Principal office
The Association’s principal office shall be located in Harfords Point Township, County of Piscataquis, State of Maine.
8. Address for notice
The post office address to which the Secretary of State shall mail a copy of any notice required by law is P.O. Box 669, Greenville, Maine, 04441.
9. Registered agent
The Association designates an agent who must be a Maine resident and a member of the Association and whose business office is identical with the registered office for the Association. The agent may hold a secondary mailing address for the Association as PO. Box 669, Greenville, Maine 04441.
10. Membership and annual meeting
Association membership is open to all Harfords Point landowners who pay association dues at or before the annual meeting. Landowners will be notified no less than 30 days prior to the annual meeting.
11. Membership listing
Association members have the option of having their names listed on the Harfords Point Association sign and website.
12. Number of directors
There shall be no less than 7 and no more than 12 directors. Directors will be elected by Association members at the annual meeting.
13.Term of directors
Each director shall serve for a term of three years.
14. Officers
The Association shall have the following officers who shall also be directors of the Corporation: President, Vice President, Secretary, Treasurer.
15. Term of officers and method of election
All officers shall be elected or re-elected by the directors following the annual meeting and serve for one year.
16. Removal of officers
Any officer may be removed either with or without cause by a majority vote of the directors.
17. Procedure of meetings
The President presides at all meetings, the Vice President presides in the absence of the President; if neither is present, the Board of Directors has the right to appoint a moderator for the meeting, or the officer next in line will automatically become moderator for said meeting.
18. Audit committee
The Audit Committee, under the direction of the president, shall be made up of at least 2 directors and shall annually review the budget and the financial statements of the Association.
The name of the Association shall be Harfords Point Association, Inc.
